SERVICE AGREEMENT

I agree to pay a one-time charge of $199.95 (CDN), plus applicable taxes, according to my card issuer agreement. This Used Vehicle Audit is intended for my personal use only. I agree that my purchase shall be governed by all the Terms and Conditions of use of the BLINKER website.

SCOPE OF OUR REVIEW

The Used Vehicle Audits and Repair Audits (collectively, the “Audits”) performed by Blinker Inc. (“Blinker”, “we”, or “us”) are primarily visual, and are designed to detect obvious or patent defects in the second-hand vehicle that you wish to buy or sell (the “Vehicle”), or to review and comment on repairs that have been conducted on your Vehicle.  Our inspectors are fully qualified, licensed mechanics, but they will not be disassembling any part of the Vehicle, and in some cases, the scope of our review may be further limited by any restrictions imposed by the owner or vendor of the Vehicle.  Therefore, our Audits do not constitute either: (i) a complete mechanical inspection, or (ii) a complete safety check as required under section 90(3) of the Ontario Highway Traffic Act, and accordingly we do not issue safety standards certificates.  For a detailed list of the items that we will review in our Audit of the Vehicle, please refer to the Sample Reports provided elsewhere on this Website, under the headings “Used Vehicle Audits” and “Repair Audits”.  In each case, our Audit of the Vehicle will be restricted to the items listed in the applicable Sample Report, and we will use our findings to provide you with an overall assessment of the apparent condition of the Vehicle.

Our Audits are not designed to detect hidden or latent defects, which may only be discovered following a thorough mechanical inspection.  Weather conditions at the time of inspection may impact on the accuracy of the inspection, and we may be unable to detect certain issues or areas of concern if the Vehicle is not entirely clean and dry at the time of inspection.  We do not verify whether a Vehicle is emission compliant.  We do not advise as to whether to purchase a Vehicle  that decision is yours alone.  We cannot advise as to how long the Vehicle will perform properly, and we are not responsible for any problems that might occur or become evident after an Audit has been completed.  Physical and mechanical damage can occur between the time we inspect the Vehicle and when the Vehicle is actually purchased, or soon after the Vehicle is purchased, and Blinker is not responsible for those occurrences should they ever happen.

Our Service Area is currently the Greater Toronto Area.  We reserve the right to charge an additional fee for travel costs associated with conducting Audits outside of our Service Area.

ACCESS TO THE VEHICLE

We will not refund any part of the fees paid to us if we have a confirmed appointment and we appear at the appointed time and place, but are denied access to the Vehicle by the owner or vendor of the Vehicle or by any other person, or if we are otherwise unable to conduct the requested Audit for any reason whatsoever.

WAIVER OF LIABILITY AND INDEMNITY

By entering into this agreement with us, you agree to be bound by all the terms and conditions of this agreement, including, without limitation, this waiver of liability.  In no event will blinker, its employees, agents or any person acting on behalf of blinker, be liable for losses or damages of any kind, including any kind of indirect or consequential damages (“losses”), that are in any way related to, caused by, or somehow connected with our inspection of the vehicle, including, without limitation any losses caused by negligent acts or omissions by us, by our employees, by our agents, or by any other person acting on our behalf.

You agree to indemnify, protect and save us harmless of and from all actions, causes of action, suits, proceedings, demands, expenses, liabilities, costs, and claims for damages or losses of every kind, wherever and howsoever arising, including but not limited to claims for negligence or trespass on our part or on the part of any of our employees, agents or other persons acting on our behalf, arising out of, in connection with, or in any way related to our audit of the vehicle in accordance with your instructions.  You also agree not to take any steps or initiate any proceedings against any person, partnership, corporation or other entity that might be entitled to claim contribution, indemnity or other relief over and against us, against our employees, against our agents, or against any other person acting on our behalf with respect to any of the matters described in the previous paragraph.

In preparing a book value report or a vehicle history audit, we rely exclusively on public databases and valuation guides published by third parties, and we accept no responsibility for any errors or omissions that result from such reliance.  Searches of public databases reflect registration status as of a specific currency date, beyond which they may not be reliable.  Consequently, although we make every effort to report the results of our findings accurately, and while you may use the information supplied in our book value report or vehicle history audit as a general guide, you should not rely on a book value report or a vehicle history audit as being entirely up to date or correct without further inquiry.

FEES AND BILLING

Payment for all services is to be made in advance.

ENTIRE AGREEMENT

These terms and conditions, together with the inspection order form (collectively, the “Agreement”) contain the entire agreement between you (as Customer) and us (Blinker). This Agreement supersedes any prior written or oral agreements we may have had with you. This Agreement may not be amended except in writing, and any such amendment must be signed by a duly authorized officer of Blinker.

SEVERABILITY

If any provision of this Agreement is found by a Court of competent jurisdiction to be invalid or unenforceable for any reason, the remaining provisions shall continue to be valid and enforceable.

APPLICABLE LAW AND CHOICE OF FORUM

All questions concerning the construction, validity and interpretation of this Agreement, and the performance of obligations under this Agreement shall be governed by the domestic laws of the Province of Ontario, and the laws of Canada applicable therein. In the event of any dispute under this Agreement, both you and we (the “Parties”) hereby irrevocably and unconditionally attorn to the Courts of the Province of Ontario, including the Court of Appeal of Ontairo and the Supreme Court of Canada.

SUCCESSION

This Agreement is binding upon, enures to the benefit of, and is enforceable by each of the parties to this Agreement and their respective successors, heirs, personal representatives and assigns.

ASSIGNMENT

No assignment, delegation or other conveyance of this Agreement or of any rights or obligations hereunder may be made by the Customer without the prior written consent of Blinker.

SURVIVAL

The “Waiver of Liability” and “Indemnity” provisions (above) will survive the termination of this Agreement.

HEADINGS

The headings and other captions in this Agreement are for convenience and reference only and shall not be used in interpreting, constructing or enforcing any of the provisions of this Agreement.

PRIVACY STATEMENT

Blinker respects the privacy concerns of its customers, and we are committed to maintaining the accuracy, confidentiality, and security of any information that can identify you as an individual ("Personal Information"). Except as may be required by law, we do not sell, rent, loan or otherwise disclose any Personal Information to anyone outside of Blinker, and we will only use any Personal Information that you provide in ways to which you have consented. We will maintain and protect all such Personal Information, which shall remain at all times under our control. We collect Personal Information from you for the purpose of fulfilling our obligations under this Agreement. We collect only that Personal Information which you provide to us voluntarily, and by providing us with such Personal Information, you consent to its collection and use in accordance with this privacy statement. We use commercially reasonable procedures to keep all Personal Information secure and to prevent unauthorized access, to maintain data accuracy, and to ensure the appropriate use of Personal Information. We will only keep Personal Information on file for as long as necessary or relevant for the purposes identified above. We will, upon request, provide you with access to any Personal Information that we have collected about you. If you wish to gain access to your Personal Information that we are holding on file, whether to update or correct any inaccuracy in such Personal Information, or to ask questions or voice concerns about our privacy policy, please contact us directly, at telephone number 1 866 90AUDIT or by e-mail at info@blinkerinc.com.

BINDING AGREEMENT
